Agreement to Terms
By accessing or using Popied ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
Account Registration and Responsibilities
Account Creation
To use Popied, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate
- Keep your password secure and confidential
- Be responsible for all activities under your account
Account Security
You are responsible for maintaining the security of your account. Notify us immediately of any unauthorized access or security breaches. We are not liable for losses from unauthorized account access if you fail to maintain security.
Acceptable Use
You agree to use Popied only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the Service for any illegal or unauthorized purpose
- Violate any laws, regulations, or third-party rights
- Create fraudulent or misleading invoices
- Attempt to gain unauthorized access to our systems or user accounts
- Distribute malware, viruses, or harmful code
- Harass, abuse, or harm other users
- Scrape, spider, or harvest data from the Service
- Reverse engineer or attempt to extract source code
- Resell or redistribute the Service without permission
- Interfere with or disrupt the Service or servers
Subscription and Billing
Subscription Plans
Popied offers Free, Pro, and Business subscription plans. Paid subscriptions automatically renew unless cancelled. We reserve the right to change pricing with 30 days' notice to existing subscribers.
Payment Terms
- You authorize us to charge your payment method for subscription fees
- All fees are non-refundable except as required by law
- Failed payments may result in service suspension
- You're responsible for any taxes or additional charges
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You'll retain access to paid features until then. No refunds are provided for partial billing periods.
User Content and Intellectual Property
Your Content
You retain ownership of all content you create on Popied (invoices, client data, business information). You grant us a limited license to store, process, and display your content solely to provide the Service.
Our Intellectual Property
The Service, including its design, features, code, and content, is owned by Popied and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without our permission.
Content Responsibility
You are solely responsible for your content and ensure it doesn't violate any laws or third-party rights. We reserve the right to remove content that violates these Terms or is otherwise objectionable.
Service Availability and Modifications
We strive to provide reliable service but make no guarantees about availability or uptime. We may:
- Modify, suspend, or discontinue any part of the Service
- Perform scheduled maintenance that temporarily affects availability
- Change features, functionality, or pricing with notice
- Impose usage limits or restrictions
We'll provide reasonable notice of significant changes when possible. Continued use of the Service after changes constitutes acceptance.
Limitation of Liability and Disclaimers
Service "As Is"
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Popied shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, data, or business opportunities
- Service interruptions or data loss
- Third-party actions or content
- Unauthorized access to your account or data
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 if you're on a free plan.
Indemnification
You agree to indemnify and hold Popied harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
Termination
We may terminate or suspend your account immediately, without notice or liability, for any reason including:
- Breach of these Terms
- Non-payment of fees
- Fraudulent, abusive, or illegal activity
- Request by law enforcement or government
- Extended inactivity
Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination, after which we may delete your data.
Dispute Resolution and Governing Law
Informal Resolution
Before filing a claim, you agree to contact us at support@popied.com to attempt informal resolution. We'll try to resolve disputes through good faith negotiations.
Governing Law
These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles. Any legal action must be brought in the courts located in [Your Jurisdiction].
Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except where prohibited by law. You waive your right to participate in class actions or class arbitrations.
General Provisions
Entire Agreement
These Terms constitute the entire agreement between you and Popied regarding the Service, superseding any prior agreements.
Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
Waiver
Our failure to enforce any right or provision doesn't constitute a waiver of that right or provision.
Assignment
You may not assign these Terms without our consent. We may assign these Terms to any affiliate or successor.
Changes to Terms
We reserve the right to modify these Terms at any time. We'll notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance. If you disagree with changes, you must stop using the Service and cancel your account.
